Terms of Service

Last updated: October 1, 2026

1. Introduction

Please read these Terms of Service (“Terms”) carefully before using the ceuniverse.com website (the “Website”) operated by FoxyLearning LLC, a Limited Liability Company formed in Washington, United States (“us,” “we,” “our”). These Terms contain important information regarding limitations of our liability.

Your access to and use of this Website is conditional upon your acceptance of and compliance with these Terms. By registering with, accessing, or otherwise using this Website, you agree to be bound by these Terms. If you disagree with any part of the Terms, you do not have our permission to access or use the Website.

These Terms apply to everyone, including visitors, users, and others who wish to access and use the Website. You may be bound by additional contracts related to products or services you receive from us. If any provisions of those additional contracts conflict with these Terms, the provisions of the additional contracts will control and prevail.

2. Electronic Communication

By using this Website or communicating with us electronically, you agree that we may communicate with you electronically, and you agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.

3. Our Offers and Pricing

We offer digital products on this Website, including online continuing education courses for behavior analysts and related professionals, which we refer to on the Website as “modules.” References in these Terms to “courses” include modules, bundles, and any other educational content offered on the Website, together with their associated assessments, quizzes, and certificates. Prices are listed on the Website and do not include taxes or other fees that you may be charged.

4. Purchases

When you make a purchase, payment will be collected and processed by one or more third-party payment processors. The payment methods available to you (which may include credit or debit cards, digital wallets such as Apple Pay and Google Pay, and buy-now-pay-later or other alternative payment methods) vary depending on your device, location, and other factors, and may change from time to time. We are not responsible for the collection, use, sharing, or security of your billing information by these third-party payment processors. Your use of a third-party payment processor is also subject to that processor’s own terms and privacy policy.

5. CEU Integrity and Anti-Fraud Requirements

Because our courses are used to earn continuing education units (CEUs) and other professional credentials, strict individual completion is essential to the integrity of those credentials. You agree that the following conditions apply to all courses, assessments, and other interactive content on this Website.

5.1 No Sharing of Accounts or Credentials

You may not share your account, username, password, login credentials, or access tokens with any other person, and you may not permit any other person to access or use the Website through your account. You are solely responsible for all activities occurring under your account. You must notify us immediately upon becoming aware of any unauthorized use of your account. An organization or individual may purchase courses on behalf of others where we offer that option, but each person who takes a course must do so through their own individual account.

5.2 Individual Completion Only

You may not complete, view, attend, interact with, or otherwise engage with our courses, assessments, or other content on behalf of, or in the name of, any other person. Each user must complete all course requirements personally, and any certificates, CEUs, or other credit issued by us certify only that the named individual user completed the requirements. Misrepresenting another person’s participation in, or completion of, our content is strictly prohibited.

5.3 No Automated Interaction or Artificial Intelligence Agents

You may not use artificial intelligence agents, bots, scripts, automated browsers, or any other automated technology or process to interact with, complete, or engage with our courses, assessments, quizzes, timers, attendance verification mechanisms, or any other content on our Website. You also may not use artificial intelligence tools or other outside assistance to generate or supply answers to quizzes or assessments on your behalf. All interaction with our content must be performed personally by the individual registered user.

This Section does not prohibit the use of assistive technologies (such as screen readers, screen magnifiers, voice control, or switch access) by individuals with disabilities to access our content, provided that the registered user personally performs all course activities and answers all assessment questions.

5.4 Investigation and Consequences of Violation

If we reasonably believe you have violated this Section 5, we will ordinarily notify you by email and give you an opportunity to respond before taking final action, except where we reasonably believe immediate action is necessary to protect the integrity of our courses or credentials. Violation of any provision of this Section 5 constitutes a material breach of these Terms and may result, in our sole discretion, in: (a) suspension or termination of your account without refund; (b) revocation of any certificates or CEUs obtained through the Website; (c) permanent prohibition on future registration; and/or (d) denial of any pending refund request, or recovery of any refund previously issued for the affected purchase.

5.5 Reporting to Professional Certification Bodies

Fraudulent completion of continuing education requirements, including credential sharing, impersonation of another credential holder, or falsification of course completion, may constitute a violation of applicable professional ethics standards. Accordingly, if we reasonably believe you have violated this Section 5, we reserve the right to report such conduct, together with relevant account, activity, and completion records, to the Behavior Analyst Certification Board (BACB) for investigation as a possible violation of the Ethics Code for Behavior Analysts, as well as to any other applicable licensing board, certifying body, or regulator. We may cooperate fully with any such investigation. Our Privacy Statement describes this disclosure.

6. Accounts

When you create an account, you guarantee that you are 18 years of age or older and that the information you provide is accurate, complete, and current at all times. Inaccurate, incomplete, or obsolete information may result in immediate termination of your account.

You are responsible for maintaining the confidentiality of your account and password, including restricting access to your computer and/or account. You agree to accept responsibility for all activities occurring under your account or password. We reserve the right to terminate your account at any time at our sole discretion. After termination, you will not attempt to register a new account without our permission. You may terminate your account by contacting us.

7. Cancellation and Refund Policy

We offer refunds on purchases of digital products if you submit your request to us within 30 days of your purchase date. Refunds are available for any reason, except that no refund will be issued (a) for a course you have completed or for which you have claimed a certificate or CEUs, or (b) where a violation of Section 5 has occurred. To request a refund, contact us at [email protected].

8. No Warranty on Purchases

THE ITEMS OR SERVICES DISPLAYED OR SOLD ON THIS WEBSITE ARE PROVIDED “AS IS.” NO WARRANTY, EXPRESS OR IMPLIED (INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, OF SATISFACTORY QUALITY, OR FITNESS FOR A PARTICULAR PURPOSE OR USE) SHALL APPLY, EXCEPT WHERE SUCH DISCLAIMER WOULD BE UNLAWFUL UNDER APPLICABLE CONSUMER PROTECTION LAW.

9. Remedies

To the extent permitted by applicable law, your sole and exclusive remedy for any dissatisfaction with or defect in a product you purchase from us is a refund in accordance with Section 7.

10. Comments and Uploading Content

By submitting a comment or uploading content onto this Website, you grant FoxyLearning LLC a worldwide, non-exclusive, perpetual, royalty-free license to reproduce, publish, and distribute the content. You are responsible for ensuring that your content does not contain confidential or proprietary information and does not violate any laws, rules, or regulations. We reserve the right to remove any content or comment at any time in our sole discretion. You agree that your content will comply with these Terms and must not be illegal, unlawful, or infringe any person’s legal rights.

The following is a non-exhaustive list of prohibited content: content that harasses others; swearing, name calling, or otherwise abusive content; content displaying, depicting, or suggesting violence; content encouraging or committing illegal acts; content infringing on anyone’s rights, including intellectual property rights; discriminatory or offensive content; pornographic or sexually explicit content; content that exploits or abuses children; content sharing personal information without consent; content advertising products or services without our permission; and spam.

11. Idea Submission

Do not submit any ideas, inventions, works of authorship, or other information that constitutes your intellectual property unless we have first signed an agreement regarding the intellectual property or a non-disclosure agreement. If you disclose such material absent a written agreement, you grant us a worldwide, irrevocable, non-exclusive, royalty-free license to use, reproduce, store, adapt, publish, translate, and distribute your content in any existing or future media.

12. Responsible Use and Prohibited Uses

You agree to use this Website only for lawful purposes, in accordance with these Terms, any additional contracts with us, applicable laws, and generally accepted online practices. You agree that you will not, among other things:

  • Impersonate or attempt to impersonate FoxyLearning LLC, its employees, representatives, subsidiaries, or divisions;
  • Misrepresent your identity or affiliation with any person or entity;
  • Send advertising or promotional material, including spam, junk mail, or chain mail;
  • Use the Website in any manner that could disable, overburden, damage, or impair the Website, or interfere with another party’s use, including via denial-of-service attacks;
  • Use any robot, spider, or other automatic technology or process to access, monitor, or copy material on the Website, including any automated interaction with course content prohibited by Section 5.3, except that operators of public search engines may use spiders to index publicly available pages of the Website in accordance with our robots.txt file;
  • Attempt to gain unauthorized access to or disrupt any part of the Website, its servers, or connected databases;
  • Circumvent or bypass any access restriction or integrity-verification measure on the Website;
  • Use data collected from the Website for direct marketing, or conduct any systematic or automated data collection activities;
  • Publish or distribute malicious computer software; or
  • Use the Website in any way that violates any applicable federal, state, or local law.

13. No Warranty on Website

THIS WEBSITE IS PROVIDED “AS IS” AND “AS AVAILABLE” AND MAY INCLUDE INACCURACIES OR TYPOGRAPHICAL ERRORS. NO WARRANTY, EXPRESS OR IMPLIED (INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, OF SATISFACTORY QUALITY, OR FITNESS FOR A PARTICULAR PURPOSE OR USE) SHALL APPLY, EXCEPT WHERE SUCH DISCLAIMER WOULD BE UNLAWFUL UNDER APPLICABLE CONSUMER PROTECTION LAW.

14. Availability, Errors, and Inaccuracies

We assume no liability for the availability of, or errors or inaccuracies in, the information, products, or services provided on this Website. We expressly reserve the right to correct any pricing errors, including by canceling and refunding an order placed at an erroneous price.

15. Damages and Limitation of Liability

Nothing in these Terms limits or excludes any warranty or liability that it would be unlawful to limit or exclude. Subject to that:

IN NO EVENT SHALL FOXYLEARNING LLC BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR ACCESS TO, DISPLAY OF, OR USE OF THIS WEBSITE, INCLUDING ANY COMPUTER VIRUSES, LINKED WEBSITES OPERATED BY THIRD PARTIES, OR PRODUCTS OR SERVICES OBTAINED THROUGH THIS WEBSITE, WHETHER BASED ON A THEORY OF NEGLIGENCE, CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR MAXIMUM AGGREGATE LIABILITY FOR ALL DIRECT DAMAGES AND ALL OTHER CLAIMS SHALL BE LIMITED TO THE AMOUNT OF FEES ACTUALLY RECEIVED BY US FROM YOU. THIS LIMITATION REFLECTS THE ALLOCATION OF RISK BETWEEN YOU AND US AND SURVIVES EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

Unless specified otherwise, the Website and all content and materials on it are the proprietary property of FoxyLearning LLC or its licensors, and are protected intellectual property. This Website may contain hyperlinks to third-party websites, provided for reference only. You bear all risks associated with your use of third-party websites, and we will not accept responsibility for any loss or damage resulting from your disclosure of personal information to third parties.

20. Indemnification

You agree to indemnify, defend, and hold us harmless from and against any and all claims, liabilities, damages, losses, and expenses relating to your violation of these Terms and applicable laws, including intellectual property and privacy rights, and to promptly reimburse us for damages, losses, costs, and expenses arising out of such claims.

21. Force Majeure

Except for obligations to pay money, no delay, failure, or omission by either party will be deemed a breach of these Terms if and for as long as it arises from any cause beyond that party’s reasonable control.

22. Governing Law, Dispute Resolution, Venue, and Severability

These Terms are governed by and construed in accordance with the laws of the State of Washington, United States, without regard to conflict of laws provisions. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

The party raising the dispute must send the other a written notice describing the dispute and the relief sought: to us at [email protected] or the mailing address in Section 27, and to you at the email address associated with your account. If the dispute is not resolved within 30 days after the notice is received, either party may proceed as described below. Any applicable limitation period is paused during this 30-day period.

Small claims. Either party may bring an individual claim in any small claims court with jurisdiction over it, as long as the claim remains in that court.

Venue. Except for claims brought in small claims court, any controversy or claim arising out of or relating to these Terms shall be resolved exclusively in the state or federal courts with jurisdiction over Thurston County, Washington, and you and we consent to the personal jurisdiction of those courts.
